Engaging P2F Services

The P2F process to retain temporary TTO expertise

Simon Youlton at P2F can be retained for a minimum of 2 days a month dependent on the anticipated workload for business development and project management or engaged at fixed rates for project due diligence, giving staff and principal investigator commercial awareness training, and technology audits.

Your first steps to investigating a role for P2F are outlined below:

  1. Confidential Disclosure Agreements are signed (we can use yours or one can be downloaded at this site). It may be helpful to identify the scientists who are inventors/leading investigators on projects to be reviewed. This may not be necessary in the case of the General Retainer as specific projects can be discussed after the contract is set up.
  2. Decide on which of the 5 services you require:

General Retainer:

This is designed to provide a full service replacing the life science portfolio of an existing FTE and includes all services commonly conducted by a senior technology transfer professional including, chaperoning invention disclosures from scientists and proposing scientific and commercial development strategies, filing and monitoring progression of existing patent applications, identifying and negotiating heads of terms for license / collaboration agreements, advising on the commercial aspects of legal agreements in process and dealing with ancillary agreements such as inter-institutional agreements for revenue shares as well as founding shareholder agreements for start-ups. The service includes site visits to interview scientists on the ground. Our rates are €380 per day

Business Development:

Business Development is project marketing, promotion, partner identification and then, contract negotiation to heads of terms. The goal is to identify a willing licensing or collaboration partner. We only invoice HALF of our total anticipated time until such a partner is identified and willing to negotiate terms. For instance if we anticipate and the client agrees to 8 days work to identify a partner over 2 months we will only invoice for the 4 days in month 1 and will not invoice the second months work until a partner is found. Our rates are €380 per day and total number of days can be capped by agreement at the beginning of the project*

Project Due Diligence:

Project Due Diligence is the first or second independent review of the scientific background of a project in the context of analysis of risk/benefit in taking this project forward as a TTO project. It assesses the science in the context of intellectual property and commercial upsides and risk. It provides reassurance or offers warnings that may be taken more seriously by the inventors if also arising from an independent reviewer as well as the internal TTO. It provides a written report of the prior art issues, a simple freedom to operate report and identifies likely partners.

  1. We can undertake such reviews internally at P2F and/or by sourcing the best expertise available through our affiliates under confidentiality. Using our network model we have the ability to source scientific expertise and court the views of those that have worked in a relevant industry. You can choose to decline the network model in which case the review will be guaranteed to be conducted internally.
  2. A report is provided (a minimum of 4 pages) specifying our findings including relevant prior art, a list of possible potential industrial partners, public and private competitors and recommendations to proceed.
  3. The cost of this service is fixed at €400 per project.

Technology Audit Report:

In some circumstances a TTO Director may just need to know the ‘asset value’ of current life science projects and likely commercial and development strategies required. We recommend an on site visit to meet with the inventors/ lead investigators. These audits can also be used by the TTO as an assessment of all the life science projects currently on the books in the form of a written report which is provided relating to each scientist and the commercial/translational potential of their projects with recommendations to go forward. Audits are charged at a daily rate of €380 with twice as many desk research days as the number of days on site *

Seminars and Training:

Having been directly involved in all aspects of the life science commercialisation process, including designing development strategies and experiments for translational proof of concept, negotiating and engaging partners on collaborations and licensing deals with up to seven figure up-fronts, organising a successful management buy-out, co-owning and running a small life science company, launching brands and distribution channels; identifying technologies and bringing together founders of new biotech start-ups, writing business plans and securing Series A investment and serving on Boards of young start ups in a business development capacity, Simon Youlton is keen to transfer such skills and prepare any would-be budding entrepreneur currently working at the bench. General seminars can be provided on basic principles of patenting, and working with industrial partners as well as the necessities of forming a spin out company from academic research.
